Terms of Use

These Terms of Use (the "Terms") govern your access to and use of thefilmreality.com, any associated mobile or desktop applications, the public API, and any other product or service offered by The Film Reality, Inc. (collectively, the "Service"). By creating an account, accessing, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

In these Terms, "we", "us", and "The Film Reality" refer to The Film Reality, Inc. and its subsidiaries. "You" refers to the individual accessing or using the Service, and where applicable, the entity on whose behalf that individual is acting.

Our Privacy Notice describes how we collect, use, and protect personal information, and forms part of these Terms by reference.

NOTICE TO USERS IN THE UNITED STATES: THESE TERMS CONTAIN A BINDING ARBITRATION AGREEMENT AND A CLASS ACTION WAIVER (SECTION 23). BY ACCEPTING THESE TERMS, YOU WAIVE THE RIGHT TO LITIGATE COVERED DISPUTES IN COURT AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION. PLEASE REVIEW SECTION 23 CAREFULLY. YOU MAY OPT OUT OF ARBITRATION WITHIN 30 DAYS OF FIRST AGREEING TO THESE TERMS AS DESCRIBED IN SECTION 23.4.

1. License to use the Service

Subject to your continued compliance with these Terms, The Film Reality grants you a personal, limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your personal, non-commercial purposes. All rights not expressly granted in these Terms are reserved by The Film Reality. Your access to the Service is licensed, not sold.

2. User responsibility

You are responsible for all activity that occurs under your account, including all content you submit, post, transmit, or otherwise make available through the Service ("Posted Content"). To the extent permitted by applicable law, The Film Reality disclaims liability for the accuracy, legality, or appropriateness of any Posted Content.

3. Eligibility; registration

You must be at least 16 years of age to use the Service. Additional age requirements may apply in certain jurisdictions. By creating an account, you represent and warrant that you meet the applicable minimum age and have the legal capacity to enter into a binding contract.

You agree to provide accurate, current, and complete information when registering, and to keep that information current. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs through your account.

4. Community guidelines

You agree to interact respectfully with other users of the Service. The full community guidelines available on our About page are incorporated into these Terms by reference and apply to all Posted Content and user conduct on the Service.

You agree not to engage in, and not to encourage, assist, or enable any third party to engage in, any of the following:

6. Security and integrity

You agree to access the Service only through the interfaces we provide. You will not interfere with or compromise the security or integrity of the Service. You will not probe, scan, or test the vulnerability of any system or network operated in connection with the Service, nor attempt to breach or circumvent any authentication or access control measure. You will not solicit personal or identifying information from other users, nor collect user information for the purpose of unsolicited communications. You will not submit false or malicious reports to our support or moderation teams.

7. Lawful use

You agree not to use the Service for any unlawful purpose or in violation of any applicable law or regulation. You will not post any material that infringes any intellectual property right, breaches any confidentiality obligation, or invades any individual's right of privacy or publicity. The Service prohibits content that sexually exploits or endangers minors. When The Film Reality becomes aware of any such material, it will report the matter to applicable authorities in accordance with law. You may report apparent violations using the in-Service reporting tools or by contacting reports@thefilmreality.com. The Film Reality will cooperate with law enforcement and other authorities as required.

8. Posted Content; moderation

The Film Reality is under no obligation to pre-screen Posted Content but reserves the right, at its sole discretion, to remove or restrict access to any Posted Content that it determines to violate these Terms, applicable law, or the rights of any third party. This includes, without limitation, content that endorses or promotes white-nationalist, neo-Nazi, or related extremist ideologies, whether expressly or through coded language, symbols, keywords, or tags, and content that disseminates harmful misinformation.

Your use of the Service may expose you to Posted Content that you find objectionable. The Film Reality is not responsible for the accuracy, legality, or appropriateness of Posted Content, which remains the sole responsibility of the user who submitted it, except where local law provides otherwise.

9. Enforcement actions

Where The Film Reality determines that a user has violated these Terms, it may, in its sole discretion and depending on the nature and severity of the violation, take one or more of the following actions:

The affected user will be notified by email and may submit an appeal to the moderation team. The Film Reality endeavors to review appeals within seven (7) days but does not guarantee a specific resolution timeline.

10. Subscription services

10.1 Fees and billing

Certain features of the Service ("Premium") are available only through a paid subscription. By subscribing, you authorize The Film Reality, through its payment processor Stripe, Inc., to charge your designated payment method the applicable subscription fee on a recurring basis, together with any applicable taxes and surcharges. You are responsible for maintaining accurate and current billing information.

10.2 Automatic renewal

Subscriptions renew automatically at the end of each billing cycle (monthly or annual, as selected) at the then-current price, unless you cancel before the renewal date. Continued use of the Service after a renewal constitutes acceptance of the renewal charge.

10.3 Cancellation

You may cancel your subscription at any time through Settings → Billing → Manage subscription. Cancellation prevents future renewals; access to Premium features continues through the end of the then-current billing period. Refunds are not provided for partial billing periods, except as required by applicable law.

If you cancel within fourteen (14) days of your initial Premium enrollment, you may request a full refund by emailing support@thefilmreality.com. Users located in the European Union and the United Kingdom retain any additional statutory cancellation rights under applicable consumer protection law.

10.4 Price changes

The Film Reality reserves the right to modify subscription prices. Where the price applicable to your subscription changes, The Film Reality will provide notice at least thirty (30) days in advance by email or in-Service notification. You may cancel your subscription before the new price takes effect if you do not wish to continue on the revised terms.

11. Writer payments and tips

Where you participate as a Publications writer on the Service, you may receive monetary tips from readers through Stripe Connect. By enabling tips, you authorize The Film Reality to facilitate payments to you in accordance with Stripe's Connected Account Agreement, which forms part of your agreement with Stripe. The Film Reality retains a platform fee on each tip transaction. The current fee is displayed at the time you connect your Stripe account and may be changed on thirty (30) days' notice.

Payouts are processed by Stripe in accordance with its standard schedule, typically within two to seven (2 to 7) business days following clearance. You are solely responsible for the reporting and payment of any taxes arising from tip income. Users located in the United States who exceed applicable Internal Revenue Service thresholds will receive a Form 1099-K issued by Stripe.

The Film Reality reserves the right to withhold, reverse, or refund any tip determined to be the result of fraud, payment dispute, account compromise, or violation of these Terms.

12. Intellectual property of The Film Reality

The Service, including all software, source code, design, layout, text, graphics, illustrations, logos, trademarks, service marks, photographs, audio, and video included therein, is the property of The Film Reality and its licensors and is protected by applicable intellectual property laws.

No portion of the Service may be copied, reproduced, modified, transmitted, distributed, performed publicly, or used for any commercial purpose except as expressly permitted under these Terms. Trademarks, service marks, logos, and trade names displayed on the Service may not be used in connection with any product or service that is not provided by The Film Reality without our prior written consent.

Film and television metadata are provided under license from The Movie Database (TMDB). Soundtrack metadata is provided under license from Apple Inc.'s iTunes Search API. All rights in such third-party content remain with their respective owners.

13. User Content; license grant

You retain all ownership rights you have in Posted Content. By submitting Posted Content to the Service, you grant The Film Reality and its successors a worldwide, non-exclusive, royalty-free, fully paid, sublicensable, and transferable license to use, host, store, reproduce, adapt, modify, publish, translate, distribute, display, and perform such Posted Content in connection with operating, providing, and promoting the Service. This license includes the right to:

You represent and warrant that you have all necessary rights to grant the foregoing license and that your Posted Content does not infringe any third party's intellectual property, privacy, publicity, or other legal rights. Where you reference third-party material, you agree to do so in accordance with applicable law and with appropriate attribution.

Posted Content you delete will be removed from public-facing surfaces of the Service promptly. Cached or backup copies may persist within The Film Reality's systems for up to ninety (90) days following deletion, after which such copies will be expired in the ordinary course of operations.

14. Account security

You are responsible for safeguarding your account credentials. You agree to use a strong password, to enable two-factor authentication where available, and to notify The Film Reality promptly of any actual or suspected unauthorized access to your account by contacting security@thefilmreality.com. To the extent permitted by applicable law, The Film Reality is not liable for any loss arising from unauthorized use of your account where such use results from your failure to protect your credentials.

15. Third-party services

The Service incorporates or links to certain third-party services, including without limitation TMDB (film and television metadata), Apple Inc. (soundtrack metadata via the iTunes Search API), Stripe, Inc. (payment processing), and Microsoft Corporation (cloud infrastructure and authentication). Your use of any such third-party service is subject to the terms and policies of that third party. The Film Reality does not control, endorse, or assume responsibility for any third-party service, and disclaims all liability arising out of or relating to your use of any third-party service.

16. Modifications to the Service

The Film Reality may modify, suspend, or discontinue all or any portion of the Service at any time, with or without notice. The Film Reality endeavors to provide reasonable advance notice of material changes that affect features you rely upon, but is not obligated to do so except where required by applicable law.

For users located in the European Union or the United Kingdom, where The Film Reality makes a change that materially impairs the usability or functionality of a Service for which you have paid, you may cancel your subscription and receive a pro-rata refund for the unused portion by contacting support@thefilmreality.com.

17. Technical support

The Film Reality provides technical support on a commercially reasonable best-efforts basis. Support inquiries may be submitted to support@thefilmreality.com. The Film Reality does not warrant uninterrupted or error-free operation of the Service and is not liable for losses arising from any unavailability, except as required by applicable law.

18. Feedback

Any feedback, suggestions, or ideas you submit regarding the Service (collectively, "Feedback") are non-confidential. You hereby grant The Film Reality a perpetual, irrevocable, worldwide, royalty-free, fully sublicensable license to use, modify, prepare derivative works of, publish, distribute, and incorporate the Feedback into the Service and other products and services, without any obligation or compensation to you. You further represent that you have the right to provide the Feedback and that it does not contain any third party's confidential information or proprietary materials.

19. Suspension and termination by The Film Reality

The Film Reality may suspend, limit, or terminate your access to the Service at any time, with or without notice, in its reasonable discretion, including for violation of these Terms or for urgent legal, security, or operational reasons. Where practicable, The Film Reality will provide notice and the basis for its action and will afford you an opportunity to appeal. In cases involving fraud, threats of harm, or compliance with legal process, The Film Reality may act without prior notice.

20. Indemnification

To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless The Film Reality, its affiliates, and their respective officers, directors, employees, agents, and licensors (the "Indemnified Parties") from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your use of the Service, your Posted Content, or your breach of these Terms. The Film Reality reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification, in which case you agree to cooperate with our defense. This Section 20 does not apply to users located in the European Union or the United Kingdom.

21. Disclaimer of warranties; limitation of liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. THE FILM REALITY MAKES NO WARRANTY THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR BE AVAILABLE ON AN UNINTERRUPTED, SECURE, OR ERROR-FREE BASIS. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL THE FILM REALITY, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOST PROFITS, LOST DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICE, REGARDLESS OF THE LEGAL THEORY ON WHICH SUCH CLAIMS ARE BASED, EVEN IF THE FILM REALITY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE AGGREGATE LIABILITY OF THE FILM REALITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO THE FILM REALITY DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) FIFTY UNITED STATES DOLLARS (US$50.00). IF YOU HAVE NOT PAID ANY AMOUNT TO THE FILM REALITY DURING THAT PERIOD, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USE OF THE SERVICE.

ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE EVENTS GIVING RISE TO THE CLAIM; OTHERWISE THE CLAIM IS PERMANENTLY BARRED.

CERTAIN JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES OR THE LIMITATION OF CERTAIN DAMAGES. ACCORDINGLY, THE LIMITATIONS IN THIS SECTION APPLY ONLY TO THE EXTENT PERMITTED BY APPLICABLE LAW.

22. Copyright; DMCA

The Film Reality respects the intellectual property rights of others and complies with the Digital Millennium Copyright Act ("DMCA"). If you believe that material accessible through the Service infringes a copyright you own or control, you may submit a written notification of claimed infringement (a "DMCA Notice") to our designated agent. A valid DMCA Notice must include:

  1. Your name, mailing address, telephone number, and email address;
  2. A description of the copyrighted work claimed to have been infringed;
  3. The URL or other reasonably sufficient location of the allegedly infringing material on the Service;
  4. A statement that you have a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law;
  5. A statement, under penalty of perjury, that the information in the notice is accurate and that you are the owner of, or authorized to act on behalf of the owner of, the exclusive right that is allegedly infringed; and
  6. Your physical or electronic signature.

DMCA Notices should be sent to legal@thefilmreality.com with the subject line "DMCA Takedown Notice". Please note that under 17 U.S.C. § 512(f), you may be liable for damages, including costs and attorneys' fees, if you knowingly materially misrepresent that material is infringing. The Film Reality may forward DMCA Notices, including your contact information, to the user whose material is identified.

23. Dispute resolution

23.1 Informal resolution

Before initiating any formal proceeding, you and The Film Reality agree to attempt to resolve any dispute through good-faith negotiation. You may initiate informal resolution by emailing a written description of the dispute, the relief sought, and your contact information to legal@thefilmreality.com. If the dispute is not resolved within sixty (60) days of receipt, either party may proceed in accordance with Section 23.2 or 23.5, as applicable.

23.2 Binding arbitration (United States users)

If you are located in the United States and the dispute is not resolved through informal negotiation, you and The Film Reality agree to resolve the dispute by binding individual arbitration administered by JAMS in accordance with its Streamlined Arbitration Rules and Procedures then in effect, except as modified by this Section. Arbitration will be conducted by a single neutral arbitrator in the U.S. state in which you reside, unless the parties agree otherwise. The Federal Arbitration Act, 9 U.S.C. § 1 et seq., governs the interpretation and enforcement of this arbitration agreement. The arbitrator may award the same forms of relief that a court could award in an individual action.

Notwithstanding the foregoing, either party may bring an action in small-claims court for any dispute within the scope of that court's jurisdiction, or in any court of competent jurisdiction to protect its intellectual property rights.

23.3 Class action waiver (United States users)

To the maximum extent permitted by applicable law, you and The Film Reality each agree that any dispute resolution proceeding will be conducted only on an individual basis and not as a class, consolidated, or representative action. The arbitrator may not consolidate the claims of more than one person. If this class action waiver is found unenforceable in any respect, then the entirety of the arbitration agreement in Section 23.2 will be null and void as to that dispute, and the dispute will be resolved in the state and federal courts located in Atlanta, Georgia, United States.

23.4 Right to opt out of arbitration

You have the right to opt out of the arbitration agreement and class action waiver in Sections 23.2 and 23.3 by sending written notice of your decision to opt out to legal@thefilmreality.com with the subject line "Arbitration Opt-Out" within thirty (30) days of first agreeing to these Terms. Your notice must include your full legal name and the email address associated with your account. Opting out will not affect any other provision of these Terms.

23.5 Users located in the European Union and the United Kingdom

Sections 23.2 through 23.4 do not apply to users located in the European Union or the United Kingdom. Disputes between you and The Film Reality will be resolved by the courts of competent jurisdiction in your country of residence under the substantive law of that jurisdiction. Nothing in these Terms limits any non-waivable consumer rights afforded to you under applicable law.

24. Changes to these Terms

The Film Reality may modify these Terms from time to time. Where a modification is material, such as a change to your rights, your payment obligations, or the dispute resolution provisions, The Film Reality will provide notice by email or in-Service notification at least thirty (30) days before the change takes effect. Your continued use of the Service after the effective date constitutes acceptance of the modified Terms. If you do not accept the modifications, you must discontinue use of the Service and may cancel your subscription before the effective date.

For non-material modifications, The Film Reality will update the "Last updated" date at the top of these Terms.

25. Governing law

Except as set forth in Section 23.5, these Terms are governed by and construed in accordance with the laws of the State of Georgia, United States, with venue in Atlanta, Georgia, without regard to its conflict-of-laws principles. Section 23.5 governs the law applicable to disputes involving users located in the European Union or the United Kingdom.

26. Miscellaneous

If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will continue in full force and effect. No failure or delay by The Film Reality to exercise any right under these Terms will operate as a waiver of that right. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. The Film Reality may assign its rights and obligations under these Terms in connection with a merger, acquisition, corporate reorganization, or sale of substantially all of its assets.

These Terms, together with the Privacy Notice and any community guidelines or supplemental terms incorporated by reference, constitute the entire agreement between you and The Film Reality with respect to your use of the Service and supersede all prior agreements or understandings on the subject matter.
